Terms of Service

1. Agreement to These Terms

These Terms of Service ("Terms") govern your access to and use of johnsondigitalsystems.com (the "Site") and the software, applications, and services published by Johnson Digital Systems ("Johnson Digital Systems," "we," "us," or "our"), including the LoadOut and Daily Alignment applications (collectively, the "Services"). By accessing the Site or using any of the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

Where a specific product is distributed through a third-party app marketplace, that marketplace's end-user license agreement also applies, and these Terms supplement it.

2. Who We Are

Johnson Digital Systems is a precision software company. We build and publish our own software across mobile, desktop, and other platforms, and we may also develop software for clients and partners. These Terms apply to our published Services; separately negotiated client or contract work is governed by its own written agreement.

3. Eligibility

You must be able to form a binding contract to use the Services, and you must use them only as permitted by applicable law. LoadOut concerns ammunition reloading and related activities and is intended for adults who are legally permitted to engage in those activities in their jurisdiction; you must be at least 18 years old (or the age of majority where you live, whichever is greater) to use it. 4. License to Use the Services

Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to install and use the Services for your own lawful, personal use. We reserve all rights not expressly granted.

5. Acceptable Use

You agree not to: (a) copy, modify, reverse-engineer, decompile, or attempt to derive the source code of the Services except where that restriction is prohibited by law; (b) resell, sublicense, or commercially exploit the Services without our written permission; (c) use the Services to violate any law or third-party right; (d) interfere with or disrupt the integrity or performance of the Services; or (e) attempt to gain unauthorized access to any system or data.

6. Accounts

Some features may let you create an account or sign in. Where sign-in is offered it is optional unless stated otherwise, and you remain responsible for safeguarding your credentials and for activity under your account. Notify us promptly of any unauthorized use.

7. Purchases, Subscriptions & Billing

Certain features are offered as paid upgrades, one-time purchases, or auto-renewing subscriptions. LoadOut offers an optional Pro upgrade; Daily Alignment offers an optional Premium subscription and optional in-app purchases. Prices and offerings are described at the point of purchase and may change.

All purchases are processed by the applicable app marketplace (e.g., the Apple App Store or Google Play), not by us. Auto-renewing subscriptions renew at the then-current price until canceled, and you manage, cancel, or request refunds through your marketplace account in accordance with that marketplace's policies. Except where required by law or by the marketplace, payments are non-refundable.

8. Advertising

Some Services may be supported in part by advertising. The free tier of Daily Alignment displays advertisements served through third-party advertising networks; upgrading to Premium removes them. Advertising networks may process limited device information in accordance with their own privacy policies, as described in our Privacy Policy.

9. Your Content

You retain ownership of content you create within the Services, such as notes, journal entries, reflections, load data, and similar records. For our local-first products this content is stored on your device and is not transmitted to us; you are responsible for it and for maintaining your own backups. You represent that your content does not infringe the rights of others and is not unlawful.

10. Intellectual Property

The Services, including their software, design, text, graphics, logos, and the "Johnson Digital Systems," "LoadOut," and "Daily Alignment" names and marks, are owned by Johnson Digital Systems or its licensors and are protected by intellectual-property laws. Third-party names, trademarks, and product designations that may appear in the Services are the property of their respective owners; any reference to them is for identification or interoperability only and does not imply endorsement or origination.

11. Safety Disclaimer — LoadOut and Reloading

Reloading and handling ammunition is inherently dangerous and can cause serious injury or death. LoadOut is a record-keeping and reference tool only. It is not a source of load data and does not provide professional, ballistic, or safety advice.

Always verify every load against current, authoritative data published by the component and firearm manufacturers, and follow all applicable laws and safe-handling practices. Data you enter or view in LoadOut may be incomplete, outdated, or in error. You are solely responsible for your reloading decisions and for confirming that any load is safe for your specific components and firearm. To the fullest extent permitted by law, Johnson Digital Systems is not liable for any injury, death, or property damage arising from reloading activities or reliance on the Services.

12. Wellness Disclaimer — Daily Alignment

Daily Alignment provides motivational, mindfulness, and journaling content for general informational and self-improvement purposes only. It is not medical, psychological, or mental-health advice and is not a substitute for care from a qualified professional. If you are experiencing a crisis or medical emergency, contact your local emergency services or a qualified provider.

13. Third-Party Services

The Services rely on third-party platforms and providers — for example app marketplaces, hosting and crash-reporting infrastructure, and advertising networks — each of which has its own terms and privacy policies. We are not responsible for third-party services, and your use of them is at your own risk.

14. Disclaimer of Warranties

The Services are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components, or that any data within them is accurate or complete.

15. Limitation of Liability

To the fullest extent permitted by law, Johnson Digital Systems and its owners, employees, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, goodwill, or other intangible losses, arising out of or relating to your use of (or inability to use) the Services. Our total liability for any claim relating to the Services will not exceed the greater of the amount you paid us for the relevant Service in the twelve months before the claim, or USD $50. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

16. Indemnification

You agree to indemnify and hold harmless Johnson Digital Systems from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your misuse of the Services, your violation of these Terms, or your violation of any law or third-party right.

17. Termination

You may stop using the Services at any time. We may suspend or terminate your access if you violate these Terms or if we discontinue a Service. Sections that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and indemnification — will survive.

18. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the effective date of these Terms, and material changes will take effect when posted. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

19. Governing Law

These Terms are governed by the laws of [Governing-Law Jurisdiction], without regard to its conflict-of-laws rules, and any disputes will be resolved in the courts located there, unless applicable law requires otherwise.
